Showroom / Outlet Rent Agreement
A showroom or branded-outlet rent agreement is the specialised form of shop rent used when the tenant is a brand, franchise, or company opening a branded retail outlet inside a shopping mall or a commercial building. Compared with a plain shop rent contract, it typically deals with a much bigger commitment on both sides and adds mall-specific dimensions: exclusive-use of the fascia for branding, mall opening-hours the tenant must observe, minimum staffing, contribution to common marketing, treatment of an anchor-tenant discount, and the mall management's inspection and security rules. Getting these locked in before construction and fit-out saves multi-lakh disputes later when the mall changes a rule or the tenant wants to remodel.

- Do I need mall-management approval for showroom fit-out changes?
- Almost always yes — every major Bangladeshi mall has fit-out guidelines that dictate branding, materials, façade design, and permissible utility loads, and the mall-management approval is a contractual precondition to starting work. The tenancy agreement should explicitly say (a) the tenant must submit fit-out drawings for approval, (b) how long the mall has to approve, and (c) that failure by the mall to approve within that window does not extend the rent-holiday period.
- Can the mall enforce common opening hours on my outlet?
- Yes, if you agreed to it in the rent contract. Standard Bangladeshi mall leases require the tenant to keep the outlet open during mall hours and impose a penalty for closure without notice — the mall's interest is in a consistent shopping experience for footfall. If your business model needs a different pattern (e.g. only evening opening), negotiate the exact hours and any per-day closure penalty explicitly in the deed.
